Helsinki Metropolitan Taksi Oy reffered to as: Metro Taksi

Terms and conditions of partnership

This Contract for Ride Brokerage or Ride-Hailing Services (the “Contract”) is made and entered into agreement as of [The day the app was activated] by and between [Helsinki Metropolitan Taksi  Oy– 2991332-1] and a new Partner [A Legally registered company in Finland with Taksi Operational License – verified].

1. Services

1.1 Partner Services: The Driver agrees to provide Taxi services to passengers using the Metro Taksi platform and mobile application (either subscribed, licensed or own). The Driver will use their own vehicle, which must be properly licensed and insured and meets all legal requirements in the state or country of operations.

1.2 Metro Taksi Services:

Metro Taksi will provide the Driver with access to its platform and mobile application, which will enable the Driver to receive ride requests and manage their schedule. Metro Taksi will also provide customer support and other related services as well as complaints handling which may in other cases call for end or termination of partnership deals.

2. Compensation

2.1 Fare Structure: The Driver will pay commission on every ride received, driven and completed. The specific fare structure and commission will be determined by Metro Taksi  and may be subject to change.

2.2 Payment:

The drivers will receive the payment from the customer directly in acceptable forms. For trips that are marked “Pre-Paid” Metro Taksi will collect the payment directly from the customer or from a third-party and pay the partner for completed rides after deducting its commission at the end of the month through [Bank Transfer or any other acceptable form of payment].  Commission on completed rides will be billed at the end of every month, through manual or automatic invoicing. In some cases, commissions will be deducted automatically after every trip is completed and customers paid it in the app.

3. Partners (Drivers) Responsibilities

3.1 Vehicle Maintenance: The Driver is responsible for maintaining their vehicle in good working condition.

3.2 Insurance: The Driver must maintain adequate insurance coverage for their vehicle.

3.3 Compliance: The Driver must comply with all applicable laws, regulations, and ordinances.

3.4 Customer Service: The Driver must provide courteous and professional service to all passengers.

4. Metro Taksi’s Responsibilities

4.1 Platform Access: Metro Taksi will provide the Driver with access to its platform and mobile application.

4.2 Customer Support: Metro Taksi will provide customer support to the Driver and passengers.

4.3 Marketing and Promotion: Metro Taksi may market and promote its services, including the Driver’s services.

5. Termination

5.1 Termination by Either Party: Either party may terminate this Contract anytime without any strict obligations or rules or even prior notifications either in written notice or other forms of notifications (phone, SMS, In-person etc). When one party do not see the other as “beneficial business partner”, partnership could be ended instantly and later inform the other partner about the decision and why. Metro Taksi’s prior responsibility is ride brokerage and advertising on behalf of partners and not fully committed to a partner’s decision not to or to partner with Metro Taksi.

5.2 Termination for Cause: Metro Taksi may terminate this Contract immediately if the Driver breaches any material term of this Contract or serious negligence.  The term “serious negligence” may include: continuously rejecting rides, fighting and attacks on anyone on partners’ platforms, abuse of the system, serious damages to the customer’s trust, property, image etc. In case the customer being served was outsourced from a third-party, that third party has every right to demand damages caused to the customer on behalf of the customer or to their product image directly from the partner who out of negligence caused harm. If a partner has fleets, he is responsible for all the damages his drivers will cause to the customers: including frauds, theft, fights, accidents or anything else than smoothly and safely driving the customer to his destination using Metro Taksi’s prices.  Any trip example from the streets or from Taksi stations or a partner’s own arranged customers are not under jurisdictions of Metro Taksi.

Metro Taksi do not bear responsibilities on behalf of any partner. Our responsibility is ensuring high level of customer satisfaction for customers that a partner received via Metro Taksi’s platforms.  After Metro Taksi transfers a customer to a partner, the partners accepts to take good care of the customer satisfactorily. The partner’s company continues with the responsibility once he acceepts a ride.

6. Intellectual Property

6.1 Metro Taksi Property: The Metro Taksi’s platform, mobile application, and all related intellectual property rights are owned by Metro Taksi. Taksi kupu/headlight branding and other brand logos are purely the ownership of Metro Taksi. To stop driving Metro Taksi is not the same as Quitting completely with Metro Taksi. The possibility of temporally stopping driving of Metro Taksi is high. Meaning, you are allowed to continue to use the brand.  In cases like these, our brands like Stickers and Taksi Lights branding are acceptable to be used responsibly.  We will still keep your company’s data until you return or until you fully asked us to delete it. 

However,  in cases of completely quitting Metro Taksi with Notication to management,  Metro Taksi’s brand are prohibited to use in any negative form unless you still agree to promote the brand freely on our behalf. You have to remove the stickers on your car if you have no positive intentions for keeping it.

7. Governing Law

This Contract shall be governed by and construed in accordance with the laws of the State of [Finland].

8. Entire Agreement

This Contract constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

Signatures:

Metro Taksi and its Partner  approve these terms either with a message, on the phone, accepting it electronically or in-person. On the day that both the Partner and Metro Taksi is satisfied with all the background checks and documentations, these terms and conditions take effect immediately a partner’s account is activated in our platform. Partner will be notified once the processes are complete and account activated.

Background Checks

Metro Taksi approves ONLY partners whose background is checked and have submitted application documents that are verified and considered authentic. Until then, all terms are not applicable. Documents needed or required for approval of partnership might include: Personal details, EU or country of residence work permits, Car/s’ authentic documents and as well as registered company’s details among others. Documents submission often care completed electronically through a secured platform.

Additional Considerations:

Data Privacy: Include provisions regarding data privacy and data sharing between the parties. Refer to our data privacy page Data Protection Policy.

Metro Taksi do not transfer the data of partners to any other third party. Data is by law only submitted to authorities of the country of operation if the country’s authority and trade regulators require it.    Metro Taksi ensures your data is protected and those who have access to it are limited.

Partners however, ensure that customers’ information and data are not shared in any form or with anyone else.  All information of the customer is automatically programmed to disappear on the driver’s trip screen right after the trip is marked completed. In cases that trip’s history are stored, customers data are not to be used for any other purposes after the trip unless a customer demands or there are disputes to settled between the three parties: Partner, Metro Taksi and the Customer. 

Indemnification:  Both Metro Taksi and Partners are not liable to compensation. A partner is a verified business owner. If a partner has fleets, the drivers DO NOT work for Metro Taksi or do not belong to Metro Taksi. However, Metro Taksi has every right to end or close the account of a driver or a partner who is found or accused of a gross misconduct and verified to be true.

Dispute Resolution: Disputes will be resolved, such as through arbitration or mediation – in most cases, a partner or Metro have every right to end the partnership agreement at any time without prior notice in case the conditions of service are not satisfactory. Disputes that may exist will automatically be handled through negotiations or terminations of partnership agreements. In cases of serious misunderstanding, mediation or arbitrations may be employed. Court case are in extreme cases that are agreed by both partners to settle the case in court.

Confidentiality: All personal and confidential information and issues remain between Metro party and its partner. In most cases any issue that is confidential on the part of Metro Taksi will be informed and notified to all partners or a specific partner concerned. Violation of confidential issues will be handled according to demands and legal processes of the other party.

Insurance Requirements: Metro Taksi do not owe any partners assets and business rights. We do not insure on behalf of any partner. Partners are fully responsible for insurance related issues. We provide trips for a commission. A partner is fully responsible for his drivers in case he has fleets and also fully responsible for the problems his drivers cause.

Please, understand the difference between partnership and membership.  All partners are automatically qualified to be Members of Metro Taksi Union (HudTaksi ry). The rules of joining are almost the same but the services are different. A partner automatically adheres to the rules of the Union but not enforced.

Pls, NOTE that Metro Taksi holds every right to update and modify these terms without prior consultations to any partner or member. Any new updates to the terms will however, be communicated to all member via the membership communication platform where all the members and partners belong.
